Each service may require a separate proposal, agreement, or contract depending on the project scope.

3. Project Engagement & Delivery

When you hire us:

  • We will discuss scope, requirements, timelines, and pricing
  • Deliverables will be clearly defined in writing
  • Work begins only after approval and initial payment (if applicable)

Any change request or additional work beyond the agreed scope may incur additional charges.

4. Payments & Billing

Unless stated otherwise:

  • Payments are due as per the proposal/contract
  • Initial deposits are non-refundable once work has begun
  • Late payments may delay project delivery

All invoices must be paid by the due date to avoid service interruption.

5. Intellectual Property

5.1 Client Ownership

After full payment:

  • You own the final delivered project files (website, app, automation scripts, marketing content)
  • You are responsible for maintaining your hosting, domains, and third-party services

5.2 DevAlly Ownership

We retain ownership of:

  • Internal tools, automation frameworks, and development processes
  • Drafts, prototypes, or unused design iterations
  • Any content not explicitly transferred to you

We may showcase completed work in our portfolio unless a confidentiality agreement is signed.

6. AI Automations & Third-Party Tools

Our automation services may integrate with:

  • n8n
  • APIs
  • External SaaS platforms
  • Messaging/communication tools (e.g., WhatsApp APIs, email providers)

We are not responsible for:

  • Downtime of third-party services
  • API changes
  • External system failures
  • Data loss caused by third-party platforms

Clients must maintain valid accounts and credentials for required platforms.

7. Data & Privacy

Your personal information is handled according to our Privacy Policy.
By using our services, you agree to the data practices described there.

8. Client Responsibilities

You agree to:

  • Provide accurate information and timely approvals
  • Supply required assets (content, images, branding, etc.)
  • Maintain backups of your own data
  • Not use our work for illegal or harmful purposes

We are not liable for issues arising from incomplete or incorrect inputs provided by the client.

 

9. Limitation of Liability

To the maximum extent allowed by law:

DevAlly is not liable for:

  • Loss of profits
  • Business interruption
  • Data loss
  • Third-party system downtime
  • Errors caused by plugins, hosting, APIs, or external tools

Our total liability is limited to the amount paid by you for the specific service.

10. Termination

We may terminate a project or service if:

  • Payment is not received
  • The client violates these Terms
  • The project requires illegal activities
  • The client behaves abusively or unprofessionally

Clients may terminate before completion; however, completed work up to that point must be paid for.

11. Changes to Terms

We may update these Terms at any time.
Changes will be posted on this page with the new “Last Updated” date.

Continuing to use the website or services means you accept the updated Terms.

12. Governing Law

These Terms are governed by the laws of India.
Any disputes will be resolved under Indian jurisdiction.
